Referral Agreement

THP Capital Partner Referral Agreement

1. Referral Services. Partner agrees to refer potential clients ("Referrals") to THP Capital for consideration of capital products offered by THP Capital's lending partners. Partner will use their unique Referral ID when submitting or directing Referrals.

2. Compensation. THP Capital will pay Partner a referral fee on each Referral that results in a funded transaction. The referral fee amount will be communicated to Partner upon approval and may vary based on product type and transaction size. Fees are paid monthly on funded deals from the prior month.

3. No Employment Relationship. Partner is an independent contractor. Nothing in this agreement creates an employment, agency, joint venture, or partnership relationship between the parties.

4. Compliance. Partner represents that they are not required to hold any broker, lender, or financial advisor licence to make referrals under this agreement. Partner agrees to refer only clients who have expressed genuine interest in accessing business capital.

5. Confidentiality. Partner agrees to keep the terms of this agreement and any non-public information about THP Capital's business confidential.

6. Term and Termination. This agreement continues until either party provides 30 days written notice of termination. THP Capital may terminate immediately for breach of this agreement.

7. Governing Law. This agreement is governed by the laws of the Province of Ontario.
